Professional Experience

Ms. Sun worked with EXIM Bank of China from 1995 as in-house lawyer. Her main work included drafting financial contracts, evaluation of projects of utilizing loans provided by foreign governments and providing legal consultation for departments in the EXIM Bank. In 1998, Ms. Sun joined Coudert Brothers and provided legal services regarding mainly foreign investment. Her work included providing legal consultation, drafting contracts and other legal documents and assisting foreign investors in communicating with their Chinese partners and local government. She gained a wealth of experience in foreign related legal services. In 2002, Ms. Sun joined Junyi Law Office, and focused mainly on corporate law (including but not limited to foreign direct investment, merger and acquisition, and corporate daily operation) and banking and finance. In 2007,
Yi Liu, together with his team from the former Junyi Law Office, merged with Runbo Law Firm. The name of the merged firm is Run Ming Law Office and
Ms. Sun, as a member of Yi Liu's team, joined the new firm.

During her work with Junyi, Ms. Sun provided legal services to a number of foreign corporations, foreign investment companies and large domestic enterprises relating to, amongst other things, investment and establishment, merger and acquisition and project finance. Her range included framework design, due diligence, preparation and review of contracts and other legal documents, provision of legal opinions, participation in business negotiation, and project arrangement and consultation. Her work has involved a broad range of industries including retail, creative arts, finance, power, public utilities, manufacturing, pharmaceuticals and others.

In providing legal services with respect to corporate matters and finance,
Ms. Sun has particular experience in advising on public utility concession projects, including important projects in Beijing, Heilongjiang Province and other cities, including sewage and waste projects, etc.
