Professional Experience
Mr. Wang joined China Eastern Airlines Corporation Limited in 1998 as an in-house counsel, where he handled mainly general corporate affairs, aviation law issues, commercial litigations and foreign investments. Thus he is quite familiar with the laws, regulations and international treaties regarding civil aviation transportation and the complete process to establish sino-foreign investment enterprises and accumulated rich practical experience in in-house legal affairs. Mr. Wang joined Junyi Law Office in November of 2001, where he mainly advised on banking and financing, aircraft and equipment financing and leasing, equity investment, merger and acquisition and disputes settlement. He has been involved into quantity of various legal services and accumulated deep and wide experiences. In April of 2007, Mr. Wang joined Run Ming Law Office as a funding partner.
In banking and financing, Mr. Wang acted as PRC legal counsel to scores of Chinese and foreign banks and domestic enterprises and rendered comprehensive legal services in respect of their bilateral loans, syndication loan, project financing, export credit, trade financing, acquisition financing, asset finance and derivatives transactions in the industries such as civil aviation, electric power, real estate, petroleum and chemical refinement, non-ferrous metallurgy, transporting vehicles and equipments, packaging and paper making, which helped him to earn high appreciation from those clients. Especially in aircraft and equipment financing and leasing, Mr. Wang has provided with long-term legal services to various Chinese airlines, leasing companies, banks and other related clients home and abroad, representing them in operating leases, financing leases, sale and lease-back transactions, leasing restructuring, PDF financing, bonded lease and leasing assets securitization of more than four hundreds aircrafts and nearly one hundred aviation engines. Mr. Wang is one of a limited number of lawyers in China who can practice in aircraft and equipment financing and leasing. In the foregoing legal areas, Mr. Wang is capable of contemplating transaction structure, conducting legal due diligence, drafting and reviewing legal documents, issuing PRC legal opinions, registering and perfecting security arrangement, providing particular advice relating to foreign exchange, taxation, regulatory matters and export and import procedures, effecting aircraft rights registration, etc. In addition, Mr. Wang has been the perennial legal counsel to many Chinese and foreign invested equipment leasing companies.
Mr. Wang also has wealthy experiences in equity investment and merger and acquisition. He has participated in many acquisitions by foreign entities of domestic coal-fired and hydropower power plants and high-tech enterprises and purchase of no-performing loan assets of Chinese banks. He has also assisted Chinese enterprises in acquiring foreign banks and business jet companies and in establishing foreign equipment leasing companies. In addition, Mr. Wang has much experience in equity investment in electric power, aviation transportation, aircraft and equipment leasing, chain stores, wood processing and general aviation.
In respect of disputes settlement, Mr. Wang has represented some foreign and Chinese companies in their contractual disputes regarding financing, aircraft and equipment leasing, environmental equipment supply and bankruptcy claims, including arbitration with China International Economic and Trade Arbitration Commission (CIETAC), in which he successfully protected the interests of the client.
