Professional Experience

Ms.Gu has previously worked in the securities department at King & Wood (Beijing Office) for five years after graduating from university, and has acquired invaluable knowledge and experience in corporate law practice. Her main practice area is corporate with a particular focus on corporate finance. She worked at King & Wood Tokyo Office from August 2005 to March 2006, assisting the managing partner in preparation for marketing King & Wood in Japan.
Ms. Gu joined Runbo Law Firm in December 2006, then in 2007, when Yi Liu, together with his team from the former Junyi Law Office, merged with Runbo Law Firm Ms. Gu joined the newly-named Run Ming Law Office.

During her practice with King & Wood, Ms.Gu assisted partners or worked independently to advise a number of state-owned enterprises and well-known private enterprises in domestic or overseas listings, domestic or overseas private placement, foreign direct investment, mergers and acquisitions, company restructuring and bond issue. Her main work included: restructuring prior to IPO or transaction; negotiations between investors and target companies in private placement or investment, legal due diligence on issuers or target companies, preparing legal documents on PRC law issues in IPOs or transactions, providing legal opinions, drafting and reviewing prospectus, communicating and coordinating with relevant parties to the project, assisting clients in handling relevant legal procedures. She has provided legal services to a number of different industry sectors including food manufacture and franchise, ICP and ISP services, software development and software outsourcing, website operation, Sino-foreign co-run schools and real estate development. In 2004, Ms.Gu assisted partners in advising the offshore parent company of Mengniu Dairy (Group) Co., Ltd on its IPO in Hong Kong, which was the first dairy enterprise in the PRC listed overseas. From 2002 to 2004, Ms.Gu assisted partners in advising on the private placement and IPO of SinoCom Software, a leading Chinese software outsourcing company. Ms.Gu was involved in the restructuring and investment negotiation, and was in charge of the due diligence work, prospectus reviewing, preparing legal opinions, answering questions raised by the Hong Kong stock Exchange, etc.

While focusing on securities issues, Ms.Gu also provided legal services with respect to clients' business operations for several listed Chinese companies (including A share and H share), stated-owned enterprises, private enterprises, foreign invested enterprises, high-tech enterprises and telecom services companies, including drafting and reviewing legal documents and assisting clients to handle legal issues in their day-to-day operation.
