Professional Experience
Ms. Liu began her internship in 2005 with a Beijing-based law firm and subsequently joined Runbo Law Firm in September 2006. In 2007, Runbo Law Firm merged with Junyi Law Office to form Run Ming Law Office.
During her legal practice, Ms. Liu has assisted partners or worked independently on matters relating to foreign direct investment, mergers and acquisitions, real estate property investigations and investments, aircraft financing and leasing.
She has been involved in a broad range of work such as drafting document checklists, preparing legal documents for the establishment and change of foreign invested enterprises including contracts, articles of association, resolutions of board of directors, resolutions of shareholders' meeting etc. Ms. Liu has dealt with the approval and registration application procedures in respect to the establishment and change of foreign invested enterprises; provided assistance to partners in conducting due diligence investigation on the target company in the merger and acquisition of a domestic company by a foreign investor, and prepared purchase agreements, contracts, articles of association and other related documents, participated in negotiations between foreign investors and target companies and conducted the approval and registration application procedures with respect to mergers and acquisitions.
In the field of realty Ms. Liu has been involved in drafting question lists for investigations on real estate property and preparing the due diligence investigation report regarding the investigation result, drafting agreements, memorandums for the foreign real estate property investment projects and providing the relevant legal consultation services.
Ms. Liu's work in the area of aircraft lease and financing has included drafting agreements in respect of the financing and lease of aircraft, reviewing transaction agreements and documents regarding the financing and lease of aircraft as well as drafting legal opinions under instruction from partners.
In all, Ms. Liu's work has involved industries such as aviation, leasing, corporations, real estate, value added telecommunication, printing, retail, food and drink and cosmetics, etc.
Education
Ms. Liu graduated from the Civil, Commercial & Economic Law School, China University of Political Science and Law with a LL.B. degree in 2003; and gained a LL.M. degree in 2006.from the International Law School, China University of Political Science and Law. |
