Professional Experience

Mr. Chen spent nearly 10 years study and practice in Japan. After returning from Japan, he worked with ShiMin Law Office and Shidai Law Office respectively in Shanghai as a full time lawyer. In January 2008 Mr. Chen joined Run Ming Law Office.

Mr. Chen provided legal services mainly to Japanese clients. He advised on foreign direct investment, mergers and acquisitions, customs and logistics, real estate and construction, labour law and employment management, and dispute resolutions involving foreign elements. Because of his excellent legal skills and rich experience he earned considerable trust from his Japanese clients.

In the field of foreign direct investment, Mr. Chen has advised more than 10 Japanese enterprises on establishing foreign-investment enterprises (including investment companies, commercial enterprises and manufacturing companies) in China regarding investment scheme and business model design, drafting legal documents, business negotiations, and public relation activities for government preferential policies etc. He has also participated in acquisition scheme designs, due diligence investigations, drafting legal documents, business negotiations and handling liquidation procedures in over 10 foreign acquisitions (including asset and equity acquisitions), company merger/division and liquidation transactions.

Mr. Chen can provide practical solutions regarding foreign direct investment or acquisition to Japanese enterprises by use of his extensive understanding of the regulations issued by the National Development and Reform Commission, the Ministry of Commerce, State Administration for Industry and Commerce, State Administration of Foreign Exchange, the General Administration of Customs and other relevant government authorities, and local investment policies where investment is involved (especially Shanghai and Jiangsu provinces). Despite the impracticability of relevant Chinese regulations on foreign investment, Mr. Chen can always communicate effectively with relevant government authorities and solve the problems concerned.

In the field of customs and logistics, Mr. Chen has been providing long term solution designs on import/export logistics, technology export and import transfer for an equipment supplier. In the practice he is experienced in foreign exchange, customs and logistics for import/export goods and bonded/duty-free goods under conventional trade. He has provided legal advice in several cases regarding alleged smuggling against some Japanese enterprises.

In the area of construction and real estate, Mr. Chen has experienced historic times regarding foreign investment in real estate and construction after China's entry into WTO, providing legal services regarding market admittance and other related legal issues to several major Japanese construction contractors. He also advised foreign companies on solutions for investing in real estate, such as advising a well-known Japanese client investing in the property management design project of a high-rise building in Shanghai. With an extensive knowledge of the laws and regulations regarding construction and real estate, he can provide clients with all-around legal services.

In the field of labour law, Mr. Chen has prepared bylaws for over 10 Japanese multinational companies, and also effectively solved several labour disputes and crisis (including strikes) in which several Japanese funded companies were involved. He has given over 30 lectures in respect of labour management and labour laws in 30 cities in both China and Japan. In solving the labour crisis of Japanese funded companies, Mr. Chen can give quick advice on whether the requirements of employees are legal or reasonable and make effective communication between employees, labour union and relevant authority so as to provide a legal and factual basis for clients' management decision making.

Education

Mr. Chen graduated from Suzhou University Law School with an LL.B in 1990. He went to Japan for further study in 1993 and in 1995 was admitted by the legal section of Japan Chuo University law school gaining his bachelor's degree in 1999. Having been awarded a Government Scholarship from the Japanese Ministry of Education, he went on to study for his master's degree specializing in international enterprise relationship law at the Legal Study Institute of Chuo University which he obtained in 2001. He also attended the Doctoral-Level seminar courses on international enterprise relationship law between 2001 and 2002.
