Professional Experience

Ms. Yang began her practice after she obtained her PRC bar license in 1995.  From 1997 through 2007 she spent ten years studying at top U.S. law schools and working with big U.S. law firms in the States.  She also lectured on Asian Banking Law as an adjunct professor at University of Chapel Hill Law School in 2002.

Ms. Yang has approximately eight years of experience working with big U.S. law firms.  From 1999 to 2005, she worked with Alston & Bird LLP at its headquarters in Atlanta, Georgia first as a foreign consultant, then as a summer associate and later as an associate attorney.  She developed a diverse corporate practice with an emphasis on international transactions.  She advised clients with respect to inbound and outbound transactions, including M&A, joint venture and outsourcing matters.  She also assisted public corporations with SEC filing compliance.  In 2005, Ms. Yang joined the Chicago office of Baker & McKenzie LLP, the largest international law firm with 69 branch offices.  Her practice was concentrated on cross-border M&A, joint ventures and tax-saving-driven global corporate restructuring projects. In 2007 Ms. Yang returned to China to work with the Beijing office of O’Melveny & Myers LLP first as an associate attorney and later as a counsel.  Her practice was focused on private equity, venture capital transactions and overseas security offerings of PRC-based companies. 

With her extensive working experience with top U.S. law firms and her training in both Chinese and U.S. laws, Ms. Yang has obtained in depth understanding of the objectives and concerns of in-house counsel of multinational corporations.  She usually works closely with multinational corporations’ legal departments to ensure efficiency, timeliness and consistent compliance with corporate headquarters’ planning and policies.  She is also experienced in managing local legal teams in 10-plus jurisdictions in Europe and Asia in order to consistently implement global transaction plans.  Finally, Ms. Yang has developed thorough understanding of the practice, policies and the way of thinking of foreign attorneys which enables her to seamlessly cooperate with foreign counsel on various transactions.

Ms. Yang joined Run Ming Law Office as a senior partner in April 2009.

Education

Ms. Yang received her J.D. from University of North Carolina at Chapel Hill Law School in 2003 and her LL.M. from University of Georgia School of Law in 1998. In addition, she received her LL.M. from the Chinese Academy of Social Sciences Law Institutes in 1997 and her LL.B. from Fudan University in 1990.
