Professional Experience

Ms. Liu joined Jun He Law Offices in 2003 following her graduation from Peking University, where she mainly took part in transactions of M&A, foreign direct investment and acquisition, and corporate bonds, and accumulated extensive experience in reorganization and IPO of state-owned enterprises. She started to work with DeHeng Law Firm in 2008 and joined Run Ming Law Office in September 2009.

Ms. Liu was involved in a number of projects of reorganization and overseas listing of large and medium scaled state-owned enterprises and private enterprises, private equity investment, and acquisition by foreign investment in PRC. The reorganization and IPO cases she provided legal services for include, reorganization and A share listing of HaiYou FuDao Ltd., subsidiary of CNOOC, reorganization and H share listing of China BlueChemical Ltd., subsidiary of CNOOC, reorganization and H share listing of IRICO Group Electronic Company Ltd., etc.. In the area of M&A, she assisted partners in providing legal services regarding transactions of, Warburg Pincus’ capital injection into HuiYuan Juice Group Ltd., acquisition of HaiNan Basuo Harbor Co., Ltd. by China BlueChemical Ltd., acquisition of Inner Mongolia TianYe Chemistry Group Co., Ltd. by China BlueChemical Ltd., and China DaTang Corporation’s acquisition of assets of subsidiaries of ShanDong LuBei Enterprise Group, etc. Ms. Liu is familiar with various kinds of legal issues and procedures involved in those transactions, and has accumulated extensive experience from those projects.

Ms. Liu has related experience in disposal of non-performing assets and bonds issuance. She has respectively assisted GE Capital and Bank of America bidding for non-performing assets of China Huarong Asset Management Corporation. She took a significant role in advising TCL Group on issuance of short-term financing bills, and advising HuBei YiHua Chemical Industry on issuance of listed company bond.
