Professional Experience
Following her graduation from the City University of Hong Kong, Ms. Chen joined the Hong Kong office of Jones Day. Her practice areas cover cross-border mergers and acquisitions, HK and US initial public offerings, PRC inbound investment, PRC labor and employment matters, PRC real estate transactions, and general corporate and commercial matters. Ms. Chen joined Run Ming Law Office in January 2010.
Ms. Chen has been involved in a number of cross-border merger and acquisition transactions as well as overseas listings by Chinese private-owned enterprises. Her responsibilities include due diligence investigation, analysis on and design of the acquisition structure, drafting and revision of relevant transaction documents, review of PRC legal opinions. Ms. Chen has extensive knowledge and experience in a variety of industries with a focus on the resource and traditional manufacturing industries, telecommunication, biomedical industry, real estate, advertising and entertainment.
Ms. Chen’s recent representative matters include:
- the initial public offering by Anton Oilfield Services Group on the Main Board of the Hong Kong Stock Exchange;
- the initial public offering by Centron Telecom International Holding Limited on the Main Board of the Hong Kong Stock Exchange;
- the proposed acquisition of an asphalt company and a petrochemical terminal in the PRC by a PRC-based natural resources company;
- the exit of a global UPS products and service provider from a JV in the PRC; the proposed acquisition of a PRC paints and coatings producer by a leading US counterpart;
- the proposed initial public offering by a PRC-based cement manufacturer on the Main Board of the Hong Kong Stock Exchange; and
- the proposed H-share offering by a PRC sugar manufacturer on the Main Board of the Hong Kong Stock Exchange.
Education
Ms. Chen earned an LL.B degree with distinction from School of Law, Tsinghua University in 2004 and an M.Phil degree in law from City University of Hong Kong with in 2006.
